Schindler - Legal Terms and Conditions

Access to any of the websites (the “Sites”) of Schindler Elevator Corporation (“Schindler”) is subject to the following legal terms and conditions (the “Terms and Conditions”). Schindler controls and operates the Sites from its offices in the United States of America and does not represent that materials on the Sites are appropriate or available for use in locations outside Canada and the United States of America.

1. Access and Acceptance

By accessing the Sites you accept, without limitation or qualification, these Terms and Conditions. Your use of the Sites constitutes your unconditional agreement to follow and be bound by these Terms and Conditions. We recommend you also read our Privacy Notice. 2. Purpose and Use

The content and information posted on the Sites are provided as information to interested persons and may be used for informational purposes only. Information on products and services may pertain to limited geographic areas and markets. Schindler expressly reserves the right to decline any request made on the basis of the content of the Sites for a tender by Schindler. Orders for Schindler products cannot and may not be placed over the Sites.


4. Registration

By using the Sites, you represent that you are of the age of majority in your jurisdiction. If you are a parent or legal guardian agreeing to these Terms and Conditions, you must monitor and supervise the use of the Sites by the minor and you are fully responsible for the minor’s use of the Sites, including any financial charges and legal liability that he or she may incur.

Some services offered at the Sites are available only to those who register (“Registered Users”). Registered Users must be eighteen (18) years of age or older. You agree that the registration information you provide is accurate, complete and current, and that you will promptly update that information to keep it accurate, complete and current. Once you have registered, you will receive a user id and password. We are not under any obligation to verify the actual identity or authority of any user of a user id and password. Schindler will not be responsible for any damages resulting from the unauthorized use of your user id or password. You agree to notify us immediately at uswebmaster@us.schindler.com of any such unauthorized use. We have the right to take any actions that we deem reasonable in such event provided that we will have no liability for any act or omission in this regard.

We may suspend or cancel your account at any time for any reason without notice or liability to you or any other person.


5. No Liability

Any liability of Schindler for damages due to or in connection with accessing and/or making use of the Sites is excluded to the broadest extent permitted by law.

Schindler is not responsible if information made available on the Sites is not accurate, complete or current. The material on the Sites is provided for general information only and should not be relied upon or used as the sole basis for making significant decisions without consulting primary or more accurate, more complete or timelier sources of information. Any reliance on the material on the Sites is at your own risk. The Sites may contain certain historical information. 9. No Unlawful or Prohibited Use

15. Applicable Law and Place of Jurisdiction

To the maximum extent permitted by law, these Terms and Conditions are governed by the laws of the State of New Jersey and you hereby consent to the exclusive jurisdiction and venue of courts in New Jersey in all disputes arising out of or relating to the use of the Sites.

Use of the Sites is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms and Conditions, including without limitation this paragraph.

In the event of any conflict between the English version of these Terms and Conditions and any translation of them, the English version will prevail.


16. Indemnification

You agree to indemnify, defend and hold harmless Schindler and its affiliates, and their officers, directors, employees, contractors, agents, licensors and suppliers, from and against any and all losses, liabilities, expenses, damages and costs, including reasonable attorneys’ fees and court costs, arising or resulting from any violation of these Terms and Conditions, to the greatest extent permitted by law.

If you cause a technical disruption of the Sites or the systems transmitting the Sites to you or others, you agree to be responsible for any and all losses, liabilities, expenses, damages and costs, including reasonable attorneys’ fees and court costs, arising or resulting from that disruption.


17. General

You agree that no joint venture, partnership, employment, or agency relationship exists between you and Schindler as a result of Terms and Conditions or use of the Sites.

Schindler’s performance of the Terms and Conditions is subject to existing laws and legal process, and nothing contained in the Terms and Conditions is in derogation of Schindler’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Sites or information provided to or gathered by Schindler with respect to such use.

If any part of the Terms and Conditions is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Terms and Conditions shall continue in effect.

Unless otherwise specified herein or agreed to by the user, the Terms and Conditions constitutes the entire agreement between the user and Schindler with respect to the Sites and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and Schindler with respect to the Sites.

A printed version of the Terms and Conditions and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to the Terms and Conditions to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
