Schindler sagt ausserordentliche Generalversammlung ab

Die Schindler Holding AG sagt die ausserordentliche Generalversammlung ab, nachdem sich die Übernahmekommission gegen die Einführung einer statutarischen Angebotspflicht gestellt hat.

Schindler Holding AG hatte am 3. Juli 2015 mit Blick auf den Fall Sika angekündigt, an der ausserordentlichen Generalversammlung vom 11. August 2015 die Statuten mit einer massgeschneiderten "opting in"-Klausel zu ergänzen. Nach erfolgter Statutenänderung müsste ein Dritterwerber, der 50% oder mehr des Aktienkapitals erwirbt, allen Aktionären und Inhabern von Partizipationsscheinen ein freiwilliges öffentliches Kaufangebot unterbreiten, um als Aktionär mit Stimmrecht im Aktienbuch eingetragen zu werden.

Die Übernahmekommission bezeichnet in ihrer Verfügung vom 21. Juli 2015 die vorgeschlagene rein aktienrechtliche Lösung als Verstoss gegen das Börsengesetz und damit als nichtig.

Der Verwaltungsrat der Schindler Holding AG hat nun beschlossen, von einer Anfechtung des Entscheides der Übernahmekommission abzusehen und die Generalversammlung abzusagen. Schindler wollte mit der geplanten Statutenänderung eine innovative und konstruktive Lösung zum Schutz der Minderheitsaktionäre anbieten, welche weitherum auf grosse Zustimmung stiess. Schindler kann deshalb den Entscheid der Übernahmekommission nicht nachvollziehen. Die Prioritäten des Unternehmens liegen jedoch klar in der operativen Führung des Geschäfts und mit Blick darauf soll eine langwierige und kostspielige Auseinandersetzung mit den Behörden vermieden werden. Mitte August wird Schindler das Thema an einer Medienkonferenz näher erläutern.

Gemäss Entscheid der Übernahmekommission ist Schindler zu folgender Publikation verpflichtet:

"Die Übernahmekommission verfügt:

  1. Der von Schindler Holding AG beabsichtigte neue Art. 40 ihrer Statuten ist nichtig und entfaltet im Falle seiner Annahme anlässlich der ausserordentlichen Generalversammlung der Schindler Holding AG vom 11. August 2015 keine Rechtswirkungen.
  2. Schindler Holding AG wird das Dispositiv der vorliegenden Verfügung unter Hinweis auf das Einspracherecht (Art. 58 UEV) innerhalb von drei Börsentagen nach deren Eröffnung gemäss Art. 6 bis 6b UEV veröffentlichen.
  3. Diese Verfügung wird nach der Eröffnung auf der Website der Übernahmekommission veröffentlicht.
  4. Die Gebühr zu Lasten Schindler Holding AG beträgt CHF 40'000.


Einsprache (Art. 58 der Übernahmeverordnung, SR 954.195.1):
Ein Aktionär, welcher eine Beteiligung von mindestens 3 Prozent der Stimmrechte an der Zielgesellschaft, ob ausübbar oder nicht, nachweist (qualifizierter Aktionär, Art. 56 UEV) und am Verfahren bisher nicht teilgenommen hat, kann gegen die vorliegende Verfügung Einsprache erheben. Die Einsprache ist bei der Übernahmekommission (Selnaustrasse 30, Postfach, CH – 8021 Zürich, counsel@takeover.ch, Telefax: +41 58 499 22 91) innerhalb von fünf Börsentagen nach der Veröffentlichung des Dispositivs der vorliegenden Verfügung in den Zeitungen einzureichen.

Die Frist beginnt am ersten Börsentag nach der Veröffentlichung zu laufen. Die Einsprache muss einen Antrag und eine summarische Begründung sowie den Nachweis der Beteiligung gemäss Art. 56 UEV enthalten."
