Öffentliches Rückkaufangebot zum Festpreis von maximal 4'100'000 Namenaktien und maximal 4'100'000 Partizipationsscheinen

Not for release, publication or distribution in the United States of America, Canada, Japan or Australia Schindler Holding AG ("Schindler") lanciert ein öffentliches Rückkaufangebot für bis zu 5,8% der ausgegebenen Namenaktien und bis zu 8,9% der ausgegebenen Partizipationsscheine zum Festpreis (das "Rückkaufangebot zum Festpreis") zwecks Kapitalherabsetzung. Das Rückkaufangebot zum Festpreis umfasst somit bis zu 4'100'000 Namenaktien und bis zu 4'100'000 Partizipationsscheine. Der Angebotspreis für im Rahmen des Rückkaufangebots zum Festpreis angediente Titel beträgt für Namenaktien CHF 129.00 und für Partizipationsscheine CHF 129.80.

Im Rahmen des mit öffentlicher Bekanntmachung vom 3. Januar 2013 gestarteten Rückkaufprogramms über maximal 9,5% des Grundkapitals über zwei separate Handelslinien an der SIX Swiss Exchange (das „laufende Rückkaufprogramm“) hat ein Aktionär, der Mitglied des Aktionärspools der Familien Schindler und Bonnard ist, die Veräusserung von bis zu 2 366 697 Namenaktien an Schindler angeboten. Schindler beabsichtigt, dieses Paket als Teil des laufenden Rückkaufprogramms zurückzukaufen. Aufgrund von Vorgaben der Übernahmekommission (UEK) wird das laufende Rückkaufprogramm in diesem Zusammenhang, wie im Angebotsinserat ausgeführt, unter anderem wie folgt modifiziert.

  • Das laufende Rückkaufprogramm zum Marktpreis über zwei separate Handelslinien an der SIX Swiss Exchange wird vom 18. Oktober 2013 bis und mit 14. November 2013 sistiert.
  • Das Rückkaufangebot zum Festpreis steht vom 1. November 2013 bis zum 14. November 2013, 17.00 Uhr MEZ zur Annahme offen. Übersteigt die Anzahl der angedienten Namenaktien oder Partizipationsscheine die Anzahl der im Rahmen des Rückkaufangebots zum Festpreis maximal zurückzukaufenden Titel, wird Schindler die Annahmeerklärungen anteilsmässig (pro rata) reduzieren.
  • Der ordentliche Handel in Schindler-Namenaktien (Valorennummer 2 463 821) und in Schindler-Partizipationsscheinen (Valorennummer 2 463 819) auf der ordentlichen Handelslinie wird nicht sistiert und normal weitergeführt. Verkaufswillige Aktionäre oder Partizipanten haben daher die Wahl, während der Angebotsfrist Namenaktien oder Partizipationsscheine auf der ordentlichen Handelslinie an andere Marktteilnehmer zu veräussern oder Schindler im Rahmen des Rückkaufangebots zum Festpreis anzudienen.

Schindler hat UBS AG mit der Durchführung des Rückkaufangebots zum Festpreis beauftragt. Aktionäre und Partizipanten können sich bei ihrer Depotbank über das Vorgehen im Falle einer Annahme des Rückkaufangebots zum Festpreis informieren.
