Mai 2013: Die Schindler Holding AG ("Schindler") hat die heute Vormittag angekündigten Umtauschanleihen ("Anleihen", engl. exchangeable bonds) in Namenaktien der ALSO Holding AG ("ALSO") innerhalb kurzer Zeit erfolgreich platziert. Die Anleihen mit einer Laufzeit von vier Jahren haben ein Emissionsvolumen von insgesamt CHF 218.07 Millionen, bei einem Coupon von 0.375% pro Jahr und einem anfänglichen impliziten Umtauschpreis von CHF 60.24 pro ALSO-Aktie.
Schindler hat das heute angekündigte Bookbuilding-Verfahren innerhalb kurzer Zeit abgeschlossen und in ALSO-Aktien umtauschbare Anleihen mit einem Gesamtvolumen von CHF 218.07 Millionen erfolgreich platziert. Die Transaktion war mehrfach überzeichnet. Die finalen Konditionen der Anleihe wurden mit einer Laufzeit von vier Jahren, einem Coupon von 0.375% pro Jahr und einem anfänglichen impliziten Umtauschpreis von CHF 60.24 je ALSO-Aktie festgelegt. Jede Anleihe weist eine Stückelung von CHF 5 000 Nominalwert auf. Ausgabe- und Rückzahlungspreis belaufen sich auf 100%.
Schindler wird die Kotierung der Anleihen an der SIX Swiss Exchange beantragen. Lieferung der Anleihen gegen Zahlung ist für den 5. Juni 2013 vorgesehen.
Diese Transaktion wurde für Schindler von UBS AG als Globaler Koordinator und Alleiniger Bookrunner durchgeführt. Das Bankensyndikat für die Transaktion umfasste des weiteren Credit Suisse AG als Joint Lead Manager sowie Bank Vontobel AG und Zürcher Kantonalbank als Co-Manager.
