ALSO und Actebis planen Zusammenschluss

Actebis GmbH, eine Tochtergesellschaft der Droege International Group AG und die börsenkotierte ALSO Holding AG, eine Tochtergesellschaft der Schindler Holding AG, beabsichtigen die Zusammenlegung ihrer Aktivitäten. Damit entstünde mit einem Umsatz von rd. CHF 10 Mia. europaweit das drittgrösste ITK- und CE-Distributions-unternehmen. Der Zusammenschluss steht u.a. unter dem Vorbehalt der Genehmigung durch die zuständigen Kartellbehörden.

Droege und Schindler, als heutige Haupteigentümer von Actebis und ALSO, haben eine exklusive Absichtserklärung über den Zusammenschluss (Merger of Equals) von Actebis und ALSO unterzeichnet. Da nur ALSO börsenkotiert ist, werden die beiden Gesellschaften in der ALSO zusammengeführt. Droege wird dabei Hauptaktionär werden, und Schindler wird das Unternehmen als qualifizierter Minderheitsaktionär weiter begleiten.

Nach dem Zusammenschluss wird Actebis/ALSO einen Umsatz von rd. CHF 10 Mia. erreichen. Damit entsteht das drittgrösste Handels- und Logistikunternehmen für Informationstechnologie, Telekommunikation und Consumer Electronics im europäischen Markt.

ALSO konnte im ersten Halbjahr 2010 den Umsatz um 3% (+7% in Lokalwährung) auf CHF 2,0 Mia. (€ 1,4 Mia.) verbessern und das EBITDA mit CHF 29,1 Mio. (€ 20,3 Mio.) auf Vorjahresniveau halten. ALSO steigerte den Konzergewinn um 29% auf CHF 11,1 Mio. (€ 7,8 Mio.).

Actebis steigerte den Umsatz im gleichen Zeitraum um 1% (+6% in Lokalwährung) auf CHF 2,5 Mia. (€ 1,7 Mia.) und erwirtschaftete ein stabiles EBITDA von CHF 32,5 Mio. (€ 22,7 Mio.). Actebis steigerte den Konzerngewinn um 28% auf CHF 9,4 Mio. (€ 6,6 Mio.).

Beide Gesellschaften sind in unterschiedlichen europäischen Märkten mit einer führenden Marktposition tätig, so dass sich die Unternehmen regional hervorragend ergänzen.

Im deutschen Markt bedient die Actebis im B2B-Segment rd. 25.000 Fachhandelskunden, wohingegen ALSO im B2C-Segment schwerpunktmäßig SB-Warenhäuser und deren Fachmärkte beliefert. Actebis/ALSO deckt damit das relevante Kundenuniversum nahezu vollständig ab.

Das zusammengelegte Unternehmen würde die Marktführerschaft in acht europäischen Ländern (Dänemark, Deutschland, Estland, Finnland, Lettland, Litauen, Norwegen, Schweiz) einnehmen.

Darüber hinaus werden folgende Ziele mit dem Zusammenschluss verfolgt:

Schindler hat im Juli 1988 ALSO mit dem Ziel übernommen, diese zu einem führenden IT-Handels- und Logistikunternehmen in Europa aufzubauen. Die damalige ALSO wies 1989 einen Umsatz von CHF 75 Mio. aus.

Droege erwarb die Actebis im September 2009 mit dem Ziel, einen marktführenden Broadline-Distributor in Europa zu formen.

Das Zustandekommen des Zusammenschlusses ist abhängig von der Vervollständigung und vom positiven Ausgang der Due Diligence, dem Abschluss eines Zusammenschluss-vertrages, der Genehmigung durch die zuständigen Kartellbehörden, einer Fairness Opinion sowie der Zustimmung der Aktionäre von ALSO und der Gremien der Droege Group AG. Schindler und Droege sind jedoch zuversichtlich, dass der angestrebte Zusammenschluss zustande kommt und planen den Vollzug vor Ende des Jahres.
