On March 16, 2017 the Annual General Meeting agreed on an ordinary dividend of CHF 3.00 as well as an extraordinary dividend of CHF 2.00 (previous year dividend: CHF 2.70) per registered share and participation certificate.

Have you split the shares recently?

No, the last split took effect on March 27, 2006. It was a 10-for-1 split of all registered shares and participation certificates. As of the end of 2012, the capital of Schindler Holding Ltd. comprised 71'440'056 registered shares and 46'894'800 participation certificates with a nominal value of CHF 0.10 each.

Does Schindler buy back shares?

As of December 30, 2015, Schindler Holding Ltd ended the share buyback program started on January 3, 2013. In the context of the buyback program, including a Fixed-Price Repurchase Offer from November 1 to November 14, 2013, a total of 3'810'193 registered shares and 5'455'078 participation certificates were repurchased, which represents 7.8% of the capital stock recorded in the Commercial Register at the start of the buyback program.

The Board of Directors of Schindler Holding Ltd has decided that there will be no new buy-back program at the present time.

What does the capital structure look like after the Annual General Meeting 2017?

As at December 31, 2016 the share capital amounted to CHF 6 707 745 while participation capital was CHF 4 071 683. The par value of shares as well as participation certificcates is CHF 0.10 each. Market capitalization at due date was CHF 19.2 billion. This has not been changed with the Annual General meeting of March 16, 2017.

Can all shareholders attend the Annual General Meeting?

All registered shareholders can attend the Annual General Meeting (which is held in German only). Holders of participation certificates cannot attend and have no voting rights.

Is it possible to participate at the Annual General Meeting via conference call or over the internet?

No, it is not possible.

The accounting and reporting principles applied comply with the Swiss Corporation Law as well as with the International Financial Reporting Standards (IFRS).
